一、課程目標Course objectives

The objective of the course is to provide an understanding of the financial theory of investment decisions and financing decisions with a greater depth, but without too many mathematical technicalities. The class introduces the theory of corporate finance and reviews the literature on the topic of compensation designs, capital structure, dividend policy, investment, M&A, risk management, corporate governance, and cash holdings.
本課程可培養學生「核心能力」之具體說明如下：
(1) 投資管理與分析能力：課程內容涵蓋企業投資決策與融資決策的理論分析與實證研究探討，透過課堂中相關理論的理解以及實證研究發現的討論與分析，有助於提升學生在公司企業各類投資決策的分析能力。
(2) 公司理財與分析能力：課程內容涵蓋有企業的激勵制度設計、資本結構與融資決策、股利政策、風險管理決策以及公司治理決策等的相關理論與實證的探討，透過相關學術文獻的研讀與討論，有助於提升學生在企業各類財務政策的決策與分析的能力。

Lecture, student paper presentation, and discussion.

四、評量方式Grading criteria:

There would be one final examination, one term paper review report, one paper summary and two paper presentations in this course. 
The evaluation weights for each component are given below:
Paper Reading Lead I …………………….	. 20%
    One (*) paper or one (@) paper / per person
    Preparing PowerPoint & presentation.
Paper Reading Lead II……………………. 35%
    Deadline: one week before the topic deadline.
    One (*) paper / per person
    Preparing a paper summary note one week before the presentation date and emailing it to my Email account (whtai@ncnu.edu.tw). 
    Preparing a PowerPoint to present.
Final Examination (open) …………………30%
Q&A & discussion………………………… 15%

    Choose one topic from the Topics on the paper lists, but not the topic of the paper that you had summarized or presented.

(1)	Prerequisites: Accounting, Economics, Calculus, Statistics, Financial Management.
(2)	Questions are always welcome; please do not hesitate to interrupt whenever you need to.
(3)	You are expected to actively participate in class discussions. It would be better if you could carefully read the journal articles before attending classes.
